These Terms and Conditions ("Terms") govern your access to and use of the LinguaPro website, mobile applications, products, and services (collectively, the "Platform"). By accessing, browsing, registering for, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any additional policies referenced herein.
LinguaPro provides an online marketplace that connects students with independent language instructors for one-on-one lessons, group classes, educational resources, and related learning services. Our goal is to provide a safe, professional, and effective environment for language learning while supporting instructors in delivering high-quality educational experiences.
If you do not agree to these Terms, you should not access or use the Platform.
For the purposes of these Terms and Conditions, the following definitions apply:
"LinguaPro," "we," "our," or "us" refers to LinguaPro LLC, its owners, employees, affiliates, successors, and authorized representatives.
"Platform" refers to the LinguaPro website, mobile applications, software, online marketplace, services, content, communication tools, and related technologies operated by LinguaPro.
"User" refers to any individual or entity accessing or using the Platform, including visitors, students, instructors, parents or guardians, and account holders.
"Student" refers to any user who registers for, purchases, or participates in lessons, courses, tutoring sessions, consultations, or other educational services offered through the Platform.
"Instructor" or "Teacher" refers to an independent educator, tutor, consultant, coach, or language professional who offers educational services through the Platform. Instructors are independent contractors and are not employees, agents, or representatives of LinguaPro.
"Account" refers to a registered user profile created to access certain features or services available on the Platform.
"Content" includes text, images, graphics, logos, audio, video, lesson materials, documents, software, trademarks, and all other information made available through the Platform.
"Lesson" refers to any scheduled educational session conducted through the Platform, whether delivered individually, in groups, live, or through other approved instructional formats.
"Services" refers to all products, educational programs, tutoring, language instruction, consultations, subscriptions, digital content, and other offerings provided through the Platform.
"Payment Processor" refers to any third-party service used to securely process payments, refunds, payouts, subscriptions, or other financial transactions on the Platform.
"Terms" refers to these Terms and Conditions, including any policies, guidelines, or future amendments incorporated by reference.
Unless the context requires otherwise, words in the singular include the plural, words in the plural include the singular, and references to one gender include all genders.
By accessing, browsing, registering for, or using the LinguaPro Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional policies or guidelines incorporated by reference.
These Terms constitute a legally binding agreement between you and LinguaPro LLC governing your use of the Platform and all related services.
If you are using the Platform on behalf of an organization, business, educational institution, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree with any part of these Terms, you must immediately discontinue your use of the Platform and its services.
LinguaPro reserves the right to modify, update, or revise these Terms at any time. Any changes will become effective upon posting the updated Terms on the Platform unless otherwise required by applicable law. Your continued use of the Platform after such changes have been posted constitutes your acceptance of the revised Terms.
It is your responsibility to review these Terms periodically to remain informed of any updates.
To use certain features of the LinguaPro Platform, you may be required to create a user account. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete, and that you will promptly update your information if it changes.
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account. Individuals under the age of 18 may use the Platform only with the consent and supervision of a parent or legal guardian, who accepts responsibility for the minor's use of the Platform and compliance with these Terms.
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree not to share your login credentials with others or permit unauthorized access to your account.
You are solely responsible for all activities that occur under your account, whether or not such activities have been authorized by you. If you suspect unauthorized access, a security breach, or misuse of your account, you must notify LinguaPro immediately and take reasonable steps to protect your account.
LinguaPro reserves the right to suspend, restrict, or terminate any account that contains false or misleading information, violates these Terms, infringes upon the rights of others, compromises the security or integrity of the Platform, or is used for fraudulent, abusive, or unlawful purposes.
Users may not create multiple accounts for the purpose of circumventing Platform policies, disciplinary actions, payment obligations, or other restrictions imposed by LinguaPro.
Students must create a registered account to access certain features of the LinguaPro Platform, including booking lessons, purchasing lesson packages, communicating with instructors, and managing their learning activities.
Students agree to provide accurate, current, and complete registration information and to keep their account information updated at all times. Providing false, misleading, or fraudulent information may result in the suspension or termination of the account.
Students are responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their account. Accounts are intended for individual use only and may not be shared, transferred, sold, or assigned to another person without the prior written consent of LinguaPro.
Students are responsible for reviewing instructor profiles, qualifications, lesson descriptions, pricing, availability, and other information before booking a lesson. While LinguaPro strives to provide an accurate and reliable marketplace, students acknowledge that instructors are independent contractors who are responsible for the educational services they provide.
Students agree to use the Platform in a respectful, lawful, and professional manner. Harassment, abusive behavior, discrimination, threats, fraudulent activity, attempts to bypass the Platform, or any conduct that interferes with the learning experience or the operation of the Platform may result in warnings, suspension, or permanent termination of the account.
Students are responsible for ensuring they have a reliable internet connection, appropriate equipment, and a suitable learning environment for participating in online lessons. Missed lessons or interruptions caused by the student's equipment, internet connection, or environment may be subject to LinguaPro's Cancellation and Refund Policy.
LinguaPro reserves the right to suspend, restrict, or terminate any student account that violates these Terms or any applicable Platform policies, or that is used in a manner that may harm other users or the Platform.
Instructors must complete the LinguaPro registration and application process before offering educational services through the Platform. Submission of an application does not guarantee approval. LinguaPro reserves the right to approve, deny, suspend, or revoke instructor accounts at its sole discretion.
Instructors agree to provide accurate, complete, and current information regarding their identity, qualifications, teaching experience, certifications, availability, payment information, and any other information requested during the application or verification process. Instructors are responsible for keeping this information accurate and up to date.
By creating an instructor account, instructors represent and warrant that they possess the knowledge, skills, qualifications, and legal authority necessary to provide the educational services they advertise on the Platform.
Instructors acknowledge and agree that they are independent contractors and are not employees, agents, partners, joint venturers, or representatives of LinguaPro. Nothing contained in these Terms shall be construed as creating an employment, agency, partnership, or joint venture relationship between LinguaPro and any instructor. Instructors are solely responsible for their own taxes, licenses, insurance, legal compliance, and other obligations arising from their independent business activities.
Instructors are responsible for maintaining professional conduct in all communications and lessons conducted through the Platform. Lessons should be delivered punctually, respectfully, and in accordance with the descriptions published on the instructor's profile. Instructors agree to provide a safe, inclusive, and professional learning environment for all students.
Instructors may not provide false or misleading information regarding their qualifications, certifications, experience, language abilities, pricing, or services. LinguaPro reserves the right to request documentation to verify an instructor's identity or credentials at any time.
Instructor accounts are personal and may not be transferred, shared, sold, or assigned to another individual or organization without the prior written consent of LinguaPro.
Instructors agree not to use the Platform to solicit or encourage students to conduct lessons, payments, or communications outside of the LinguaPro Platform in violation of these Terms or other Platform policies.
LinguaPro reserves the right to monitor instructor performance through student feedback, ratings, lesson completion records, response times, policy compliance, and other quality assurance measures. Repeated cancellations, poor performance, unprofessional conduct, policy violations, fraudulent activity, or behavior that may negatively affect students or the Platform may result in warnings, temporary suspension, permanent account termination, removal of listings, withholding of payouts where permitted by law, or other appropriate corrective actions.
LinguaPro reserves the right to suspend, restrict, or terminate any instructor account that violates these Terms, applicable laws, or Platform policies, or that otherwise poses a risk to the safety, security, reputation, or operation of the Platform.
All instructors who provide educational services through the LinguaPro Platform do so as independent contractors. Nothing contained in these Terms and Conditions shall be interpreted as creating an employer-employee relationship, partnership, joint venture, agency, franchise, or other similar relationship between LinguaPro and any instructor.
Each instructor operates as an independent business professional and retains sole responsibility for determining the educational services they offer, their teaching methods, lesson content, availability, pricing (where permitted by the Platform), qualifications, and professional conduct, subject to the policies and operational requirements of the Platform.
Instructors are solely responsible for complying with all applicable laws, regulations, licensing requirements, tax obligations, social security contributions, insurance requirements, and any other legal or financial responsibilities arising from their independent business activities. LinguaPro does not withhold or pay employment taxes, unemployment insurance, workers' compensation, retirement benefits, health insurance, paid leave, or any other employee benefits on behalf of instructors.
Nothing in these Terms shall be construed as granting an instructor authority to act on behalf of, bind, or make representations for LinguaPro unless expressly authorized in writing.
LinguaPro provides a technology platform that facilitates connections between students and independent instructors. While LinguaPro may establish Platform policies, quality standards, payment procedures, and operational requirements, instructors remain solely responsible for the educational services they provide and for their interactions with students.
Instructors acknowledge that they are responsible for maintaining any records required for tax reporting or other legal purposes and for obtaining independent legal, tax, or financial advice regarding their business activities if necessary.
Nothing in these Terms limits LinguaPro's right to establish, modify, or enforce Platform policies, quality standards, community guidelines, operational procedures, or eligibility requirements for participation on the Platform.
LinguaPro operates an online marketplace and technology platform that connects students with independent instructors offering language instruction, tutoring, consultation, coaching, and other educational services. The Platform provides tools for users to discover instructors, schedule lessons, process payments, communicate, and participate in online learning activities.
LinguaPro is not the employer, agent, or representative of any instructor and does not directly provide the educational services offered by independent instructors through the Platform. Each instructor is solely responsible for the quality, accuracy, legality, suitability, and delivery of the services they provide.
The Platform may include instructor profiles, qualifications, certifications, ratings, reviews, lesson descriptions, schedules, pricing, and other information supplied by instructors or generated through Platform activity. While LinguaPro makes reasonable efforts to maintain an accurate and trustworthy marketplace, LinguaPro does not guarantee the accuracy, completeness, or reliability of information provided by instructors or users.
Students are responsible for reviewing instructor profiles, lesson descriptions, pricing, availability, and other relevant information before booking any lesson or purchasing educational services.
LinguaPro may provide communication tools, scheduling systems, payment processing, promotional services, technical support, dispute resolution assistance, and other marketplace features to facilitate interactions between students and instructors. The availability of these features may change from time to time without prior notice.
LinguaPro reserves the right to establish eligibility requirements, Platform standards, operational procedures, quality assurance measures, and community guidelines for participation in the marketplace. LinguaPro may suspend, remove, or restrict listings, accounts, lessons, or other content that violate these Terms or applicable Platform policies.
Nothing in these Terms shall be interpreted as creating a guarantee that any instructor will receive students, bookings, or income, or that any student will achieve specific educational outcomes or language proficiency through use of the Platform.
Students may book lessons through the LinguaPro Platform using the scheduling tools made available by the Platform. A lesson is considered confirmed only after the booking has been successfully completed and payment, if required, has been authorized or received.
Students are responsible for selecting the appropriate instructor, lesson type, date, time, and any other booking options before confirming a reservation. It is the responsibility of both students and instructors to verify the scheduled lesson time, including any applicable time zone differences.
Instructors are responsible for maintaining accurate availability calendars and making reasonable efforts to honor all confirmed bookings. If an instructor is unable to conduct a scheduled lesson due to unforeseen circumstances, the instructor should notify the student as soon as reasonably possible through the Platform and arrange a rescheduled lesson or other resolution in accordance with LinguaPro's applicable policies.
Students are responsible for arriving on time and being prepared for each scheduled lesson with the necessary equipment, software, internet connection, and learning materials. Delays caused by a student's equipment, internet connection, or failure to join the lesson at the scheduled time may be treated as a missed lesson in accordance with LinguaPro's Cancellation and Refund Policy.
Lesson availability, instructor schedules, pricing, and offered services may change from time to time. LinguaPro does not guarantee that a particular instructor, lesson time, or service will remain available.
LinguaPro provides the technology and scheduling tools used to facilitate lesson bookings but is not responsible for circumstances beyond its reasonable control that may affect lesson availability, including technical failures, internet outages, force majeure events, or other unforeseen disruptions.
LinguaPro reserves the right to cancel, reschedule, or remove bookings that violate these Terms, involve fraudulent activity, result from obvious scheduling or pricing errors, or are otherwise necessary to protect the security, integrity, or proper operation of the Platform.
Students agree to pay all applicable fees associated with lessons, lesson packages, subscriptions, digital products, or other services purchased through the LinguaPro Platform. All prices displayed on the Platform are subject to change without prior notice unless otherwise stated at the time of purchase.
Payments must be made using one of the payment methods supported by the Platform. LinguaPro uses independent third-party payment processors to securely process financial transactions. By submitting payment information, users authorize the applicable payment processor to charge the selected payment method for all authorized purchases and any applicable taxes, fees, or service charges.
Students are responsible for ensuring that their payment information is accurate, current, and authorized for use. Failed, declined, reversed, or disputed payments may result in delayed bookings, suspension of services, cancellation of lessons, or temporary or permanent restrictions on the user's account until the matter has been resolved.
Unless otherwise required by applicable law, all fees are charged in the currency displayed at the time of purchase. Financial institutions, credit card issuers, or payment providers may apply additional fees, exchange rates, or currency conversion charges that are outside the control of LinguaPro.
LinguaPro may collect and process payments on behalf of independent instructors in accordance with the Platform's marketplace operations. The collection of payment by LinguaPro satisfies the student's payment obligation to the instructor for the amount received through the Platform, subject to these Terms.
Users agree not to circumvent the Platform by making or requesting payments outside of LinguaPro for lessons or services that originate through the Platform unless expressly authorized by LinguaPro. Attempts to bypass the Platform's payment system may result in suspension or termination of user accounts.
LinguaPro reserves the right to correct obvious pricing errors, cancel transactions affected by technical or administrative mistakes, investigate suspected fraudulent activity, verify payment information when reasonably necessary, and refuse or limit transactions where permitted by applicable law.
Users are responsible for any taxes, duties, governmental charges, or similar obligations applicable to their use of the Platform, except where LinguaPro is required by law to collect or remit such amounts.
LinguaPro is committed to providing a fair and reliable scheduling system for both students and instructors. Students and instructors are expected to honor all confirmed lesson bookings and to provide reasonable notice whenever a cancellation or rescheduling is necessary.
Students may cancel or reschedule a lesson in accordance with the cancellation period specified at the time of booking or as otherwise established by LinguaPro. Cancellations made within the applicable notice period may be eligible for the return of the lesson as a credit to the student's LinguaPro account. Lesson credits may be used toward future eligible lesson purchases on the Platform, subject to any applicable expiration periods or promotional restrictions.
Unless otherwise required by applicable law, LinguaPro does not ordinarily provide cash refunds for completed lesson purchases, lesson packages, subscriptions, or unused lessons. Approved cancellations are generally resolved through the issuance of lesson credits rather than monetary refunds.
If an instructor cancels a confirmed lesson or fails to attend a scheduled lesson without reasonable notice, the student will generally be offered the opportunity to reschedule the lesson or receive an equivalent lesson credit, as determined by LinguaPro.
If a student fails to attend a scheduled lesson, arrives substantially late, or is unable to participate because of the student's equipment, internet connection, software, or other circumstances within the student's control, the lesson may be considered forfeited in accordance with the applicable cancellation policy, and no lesson credit may be issued.
Technical issues affecting the LinguaPro Platform may be reviewed on a case-by-case basis. Where LinguaPro determines that a Platform-related technical failure materially prevented a lesson from taking place, LinguaPro may issue lesson credits, reschedule the lesson, or provide another appropriate remedy at its discretion.
Requests for exceptions due to medical emergencies, natural disasters, or other extraordinary circumstances may be considered individually. LinguaPro reserves the right to request reasonable supporting documentation where appropriate.
Lesson credits have no cash value, are non-transferable unless expressly authorized by LinguaPro, may not be redeemed for cash, and may only be used for eligible purchases on the Platform.
LinguaPro reserves the right to investigate repeated cancellations, abuse of the lesson credit system, fraudulent claims, chargebacks, or other attempts to misuse the Platform. Accounts engaging in such conduct may be subject to warnings, suspension, termination, or other corrective action as permitted by these Terms.
Instructors are compensated for eligible lessons and educational services successfully completed through the LinguaPro Platform in accordance with the compensation structure established by LinguaPro.
All student payments are processed through the Platform. LinguaPro collects payments on behalf of instructors, deducts applicable Platform fees, processing fees, taxes or withholdings where required by law, refunds, chargebacks, promotional discounts, and any other authorized adjustments before calculating instructor earnings.
Instructor earnings will be made available for payout according to the payout schedule established by LinguaPro, provided that the instructor has satisfied all applicable account verification, tax, identity, and payment requirements. LinguaPro may modify payout schedules upon reasonable notice as business operations or legal requirements change.
Instructors are responsible for maintaining accurate and current payout information. LinguaPro is not responsible for payment delays resulting from inaccurate banking information, incomplete verification, payment processor delays, government requirements, or circumstances beyond its reasonable control.
LinguaPro reserves the right to temporarily withhold or delay payouts when reasonably necessary to investigate suspected fraud, chargebacks, payment disputes, violations of these Terms, suspicious account activity, legal compliance obligations, or other matters affecting the integrity or security of the Platform.
Instructors acknowledge that students may be entitled to lesson credits, refunds where required by law, or other adjustments in accordance with LinguaPro's policies. Such adjustments may affect instructor earnings and future payouts where applicable.
LinguaPro does not guarantee that instructors will receive any minimum number of students, bookings, teaching hours, or earnings. Instructor compensation depends upon factors including lesson pricing, student demand, instructor availability, lesson completion, marketplace activity, and compliance with Platform policies.
Instructors are solely responsible for reporting and paying all applicable taxes, duties, governmental charges, licensing fees, social security contributions, and other financial obligations arising from compensation received through the Platform. LinguaPro is not responsible for providing tax advice or preparing tax filings on behalf of instructors unless required by applicable law.
LinguaPro reserves the right to correct payment errors, accounting mistakes, duplicate payments, or other administrative inaccuracies. Where an overpayment or underpayment occurs, LinguaPro may make appropriate adjustments to current or future payouts or otherwise seek reimbursement as permitted by applicable law.
Students are expected to use the LinguaPro Platform in a respectful, lawful, and professional manner at all times. By using the Platform, students agree to comply with these Terms and Conditions, all applicable Platform policies, and all applicable laws and regulations.
Students are responsible for providing accurate registration and payment information, maintaining the security of their account credentials, and ensuring that all information associated with their account remains current and complete.
Students are responsible for selecting lessons, instructors, and educational services that meet their individual learning needs. Students are encouraged to review instructor profiles, qualifications, lesson descriptions, pricing, availability, ratings, and reviews before booking any lesson.
Students are responsible for attending scheduled lessons on time and for maintaining a suitable learning environment. Students must have access to a reliable internet connection, compatible hardware and software, and any materials reasonably necessary to participate in online lessons.
Students agree to communicate respectfully with instructors, other students, and LinguaPro staff. Harassment, discrimination, abusive language, threats, intimidation, hate speech, sexually explicit conduct, unlawful behavior, or any other inappropriate conduct will not be tolerated and may result in immediate suspension or termination of the student's account.
Students may not record, reproduce, distribute, publish, sell, or otherwise use lesson content, audio, video, images, or instructional materials without the prior authorization of the instructor or as otherwise permitted by applicable law.
Students agree not to circumvent the Platform by soliciting instructors for private lessons, making payments outside the LinguaPro Platform, or otherwise attempting to avoid applicable Platform fees or policies unless expressly authorized by LinguaPro.
Students may not interfere with the operation, security, or integrity of the Platform. Prohibited activities include attempting unauthorized access to accounts or systems, introducing malicious software, scraping or harvesting data, impersonating another person, creating fraudulent accounts, or engaging in any activity that disrupts the Platform or its users.
Students acknowledge that language learning requires personal effort and participation. LinguaPro does not guarantee specific educational outcomes, examination results, certifications, employment opportunities, or language proficiency improvements.
LinguaPro reserves the right to investigate violations of these Terms and to suspend, restrict, or terminate any student account that engages in prohibited conduct, fraudulent activity, abuse of the Platform, or behavior that may harm other users or the operation of the Platform.
Instructors are expected to conduct themselves professionally and ethically at all times while using the LinguaPro Platform. By offering educational services through the Platform, instructors agree to comply with these Terms and Conditions, all applicable Platform policies, and all applicable laws and regulations.
Instructors are responsible for maintaining accurate and up-to-date profile information, including their qualifications, teaching experience, certifications, languages spoken, lesson descriptions, availability, pricing, and any other information presented to students through the Platform.
Instructors are responsible for delivering the educational services they advertise in a professional, respectful, and timely manner. Lessons should begin as scheduled, be conducted in an appropriate learning environment, and be delivered with reasonable care, skill, and professionalism.
Instructors are expected to communicate respectfully with students, parents or guardians, other instructors, and LinguaPro staff. Harassment, discrimination, abusive language, threats, intimidation, sexually explicit conduct, unlawful behavior, or any other unprofessional or inappropriate conduct is strictly prohibited.
Instructors are responsible for maintaining the equipment, software, internet connection, and technical resources reasonably necessary to conduct online lessons. Repeated disruptions caused by an instructor's equipment or connectivity may affect instructor performance evaluations and eligibility to continue offering services through the Platform.
Instructors agree to provide only educational services for which they possess the necessary knowledge, experience, qualifications, or certifications where applicable. Instructors may not knowingly misrepresent their credentials, experience, language proficiency, or areas of expertise.
Instructors shall protect the privacy and confidentiality of students and may not improperly disclose, misuse, sell, or distribute personal information obtained through the Platform except as permitted by law or these Terms.
Instructors may not solicit students to conduct lessons, receive payments, or continue educational services outside the LinguaPro Platform unless expressly authorized by LinguaPro. Attempts to circumvent the Platform's marketplace or payment system may result in suspension or permanent termination of the instructor's account.
Instructors are responsible for complying with all applicable tax laws, licensing requirements, intellectual property laws, consumer protection laws, privacy laws, and any other legal obligations applicable to the educational services they provide.
LinguaPro may monitor instructor performance through student feedback, lesson completion records, response times, professionalism, policy compliance, and other quality assurance measures. LinguaPro reserves the right to issue warnings, require corrective action, suspend or terminate instructor accounts, remove lesson listings, delay payouts where permitted by law, or take other appropriate measures when an instructor fails to meet Platform standards or violates these Terms.
Instructors acknowledge that maintaining a high-quality learning environment is essential to the success of the Platform and agree to cooperate with reasonable requests from LinguaPro relating to account verification, quality assurance, dispute resolution, compliance reviews, and investigations concerning Platform activities.
LinguaPro is committed to providing a safe, respectful, professional, and inclusive learning environment for students, instructors, parents, guardians, and all other users of the Platform. All users are expected to conduct themselves in a manner that promotes productive learning, mutual respect, and constructive communication.
Users agree to treat others with courtesy and professionalism in all interactions conducted through the Platform, including lessons, messaging, reviews, discussion forums, customer support, and any other communication channels.
The following conduct is prohibited on the Platform:
Harassment, bullying, intimidation, stalking, or abusive behavior.
Discrimination or hate speech based on race, color, ethnicity, national origin, religion, sex, gender, gender identity, sexual orientation, age, disability, or any other characteristic protected by applicable law.
Threats of violence, encouragement of unlawful conduct, or behavior that endangers the safety or well-being of others.
Fraudulent, deceptive, or misleading conduct, including impersonation, identity fraud, falsification of credentials, or creation of false accounts.
Sharing malicious software, viruses, unauthorized scripts, or engaging in activities intended to disrupt or compromise the Platform.
Posting or transmitting unlawful, obscene, sexually explicit, defamatory, or otherwise inappropriate content.
Unauthorized advertising, spam, unsolicited commercial communications, or repeated promotional messages.
Soliciting users to bypass the LinguaPro Platform for lessons, payments, or other transactions without the express authorization of LinguaPro.
Violating the privacy, intellectual property, or other legal rights of any person or organization.
Any activity that interferes with the safe, reliable, or professional operation of the Platform.
LinguaPro reserves the right to investigate reported or suspected violations of these Community Standards. Depending on the nature and severity of the violation, LinguaPro may issue warnings, remove content, restrict Platform features, suspend or terminate user accounts, withhold payouts where permitted by law, or take any other action reasonably necessary to protect users and the integrity of the Platform.

Nothing in these Community Standards limits LinguaPro's authority to take appropriate action regarding conduct that it reasonably determines to be harmful to users, the Platform, or the LinguaPro community, even if the conduct is not specifically described in this section.
Unless otherwise indicated, the LinguaPro Platform, including its software, website design, mobile applications, logos, trademarks, service marks, trade names, graphics, text, images, videos, audio, databases, code, user interfaces, and other content made available by LinguaPro (collectively, the "Platform Content") are owned by or licensed to LinguaPro and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.
The name "LinguaPro," its logos, branding, slogans, and related marks may not be copied, reproduced, modified, distributed, displayed, or otherwise used without the prior written permission of LinguaPro.
Subject to these Terms, LinguaPro grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended educational and marketplace purposes. No ownership rights are transferred through the use of the Platform.
Instructors retain ownership of the original educational materials, lesson content, presentations, worksheets, recordings, and other intellectual property they independently create and upload to the Platform unless otherwise agreed in writing. By uploading or making such content available through the Platform, instructors grant LinguaPro a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, transmit, and otherwise use such content solely as reasonably necessary to operate, maintain, promote, improve, and provide the Platform and its services.
Students retain ownership of the original content they create and submit through the Platform. By submitting content, students grant LinguaPro a limited, non-exclusive, royalty-free license to host, store, process, reproduce, and display such content solely as necessary to provide the Platform and related services.
Users may not copy, reproduce, modify, distribute, publish, sell, sublicense, reverse engineer, decompile, scrape, create derivative works from, or otherwise exploit any Platform Content except as expressly permitted by these Terms or applicable law.
Users are responsible for ensuring that any content they upload, publish, or share through the Platform does not infringe upon the intellectual property rights or other legal rights of any third party. Users represent and warrant that they possess all necessary rights, permissions, and licenses for any content they provide.
If LinguaPro receives a claim that content on the Platform infringes another person's intellectual property rights, LinguaPro may investigate the matter and, where appropriate, remove or disable access to the allegedly infringing content, suspend user accounts, or take other actions permitted by applicable law.
Nothing in these Terms grants any user ownership of the Platform, Platform Content, trademarks, or other intellectual property belonging to LinguaPro or its licensors, except for the limited rights expressly granted herein.
By creating an account or using the LinguaPro Platform, you consent to receive electronic communications from LinguaPro, including emails, in-platform notifications, text messages (where available and authorized), and other electronic communications relating to your account, lessons, transactions, security, and use of the Platform.
These communications may include, but are not limited to:
Account registration and verification notices.
Lesson booking confirmations, reminders, cancellations, and scheduling updates.
Payment receipts, invoices, payout notifications, and transaction records.
Security alerts, password reset requests, and account-related notices.
Customer support communications and responses to user inquiries.
Updates to these Terms, the Privacy Policy, or other Platform policies.
Service announcements, maintenance notices, and technical updates.
Educational resources, newsletters, promotional offers, and marketing communications, where permitted by applicable law.
You acknowledge that certain communications are necessary for the operation and security of the Platform and cannot be opted out of while maintaining an active account. These include communications relating to account security, legal notices, transactions, lesson scheduling, payment processing, and other essential operational matters.
Where applicable law requires consent for promotional or marketing communications, LinguaPro will provide users with the opportunity to opt in or opt out of such communications. Users may unsubscribe from marketing emails at any time by following the unsubscribe instructions included in those communications or by updating their communication preferences within their account settings, where available.
Users are responsible for maintaining accurate and current contact information, including their email address and, where applicable, telephone number. LinguaPro is not responsible for missed communications resulting from outdated or incorrect contact information, spam filtering, full mailboxes, blocked messages, or other circumstances beyond its reasonable control.
Electronic communications from LinguaPro shall satisfy any legal requirement that communications or notices be provided in writing, to the extent permitted by applicable law.
LinguaPro respects the privacy of its users and is committed to protecting personal information in accordance with applicable privacy and data protection laws.
Our collection, use, storage, processing, disclosure, and protection of personal information are governed by the LinguaPro Privacy Policy, which is incorporated into these Terms and Conditions by reference. LinguaPro collects and processes personal information for legitimate business purposes, including but not limited to:
Creating and managing user accounts.
Facilitating lesson bookings and educational services.
Processing payments, payouts, and financial transactions.
Verifying user identities and maintaining Platform security.
Providing customer support and responding to user inquiries.
Improving Platform performance, features, and user experience.
Complying with legal, regulatory, and contractual obligations.
Detecting, preventing, and investigating fraud, abuse, or unauthorized activity.
LinguaPro implements reasonable administrative, technical, and organizational safeguards designed to protect personal information from unauthorized access, disclosure, alteration, misuse, or destruction. However, no method of electronic transmission, storage, or internet-based communication can be guaranteed to be completely secure. Accordingly, LinguaPro cannot guarantee absolute security of any information transmitted to or stored on the Platform.
Users are responsible for maintaining the confidentiality of their account credentials and for promptly notifying LinguaPro of any suspected unauthorized access or security incident involving their account.
LinguaPro may share personal information with trusted third-party service providers, including payment processors, identity verification providers, cloud hosting providers, communication services, analytics providers, and other business partners, solely as necessary to operate, maintain, improve, and secure the Platform or as otherwise permitted or required by applicable law.
LinguaPro may disclose personal information when required to comply with applicable laws, court orders, lawful governmental requests, legal proceedings, or to protect the rights, property, safety, security, or legal interests of LinguaPro, its users, or others.
Users may have certain rights regarding their personal information under applicable law, including the right to access, correct, update, delete, or restrict the processing of their personal information, subject to applicable legal requirements and exceptions. The LinguaPro Platform may integrate with, rely upon, or provide access to third-party products, services, software, websites, applications, payment processors, video conferencing platforms, communication services, cloud hosting providers, analytics services, identity verification providers, and other technologies (collectively, "Third-Party Services") to support the operation of the Platform.
Third-Party Services are owned and operated by independent organizations and are not under the control of LinguaPro. LinguaPro does not endorse, guarantee, or assume responsibility for the availability, accuracy, security, performance, or policies of any Third-Party Service except as expressly stated by LinguaPro.
Your use of any Third-Party Service may be subject to the terms, conditions, privacy policies, and other agreements established by the applicable third-party provider. Users are responsible for reviewing and complying with those terms where applicable.
LinguaPro may transmit or receive information from Third-Party Services as reasonably necessary to facilitate lesson scheduling, payment processing, identity verification, communications, video conferencing, authentication, analytics, security, customer support, or other Platform functions. Such processing is governed by the LinguaPro Privacy Policy and, where applicable, the policies of the relevant third-party provider.
LinguaPro is not responsible for interruptions, delays, data loss, service outages, security incidents, pricing changes, feature modifications, or other issues arising from the operation of Third-Party Services that are outside LinguaPro's reasonable control.
The inclusion of a Third-Party Service on the Platform does not create any partnership, agency, joint venture, or employment relationship between LinguaPro and the third-party provider.
LinguaPro reserves the right to add, replace, modify, suspend, or discontinue the use of any Third-Party Service at any time if reasonably necessary to improve Platform operations, maintain security, comply with legal requirements, or support the continued operation of the Platform.
LinguaPro is an international online marketplace that connects students and independent instructors from various countries and jurisdictions. Access to the Platform from locations outside the United States is permitted only where such access and use are lawful.
Users are responsible for ensuring that their use of the Platform complies with all applicable laws, regulations, licensing requirements, tax obligations, consumer protection laws, privacy laws, sanctions, export controls, and other legal requirements of the jurisdictions in which they reside or access the Platform.
LinguaPro makes no representation that the Platform, its content, or its services are appropriate, available, or lawful in every country or jurisdiction. Access to the Platform may be restricted or prohibited in certain locations due to legal, regulatory, technical, or business considerations.
Users are responsible for any taxes, duties, currency conversion costs, banking fees, telecommunications charges, internet service fees, or other expenses associated with accessing or using the Platform from their respective jurisdictions.
Lessons, payments, communications, and other Platform services may involve users located in different countries and time zones. Users are responsible for verifying lesson times, local legal requirements, and any technical or regulatory obligations applicable to their participation.
LinguaPro reserves the right to limit, suspend, or deny access to the Platform or specific services in any country, region, or jurisdiction where required by applicable law, governmental authority, international sanctions, technical limitations, or legitimate business considerations.
Nothing in these Terms shall be interpreted as creating an obligation for LinguaPro to offer its services in every jurisdiction or to comply with legal requirements that do not apply to LinguaPro under applicable law.
The LinguaPro Platform and all related services are provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. LinguaPro makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, regarding the availability, reliability, accuracy, completeness, security, or suitability of the Platform or any services provided through it.
To the fullest extent permitted by applicable law, LinguaPro expressly disclaims all implied warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from a course of dealing, course of performance, or usage of trade.
LinguaPro operates a technology marketplace that connects students with independent instructors. LinguaPro does not guarantee the qualifications, experience, teaching methods, availability, conduct, performance, or suitability of any instructor, nor does it guarantee the accuracy of user-generated content, ratings, reviews, or other information provided by users.
LinguaPro does not guarantee that students will achieve any particular educational outcome, language proficiency, examination result, certification, employment opportunity, academic success, or other desired objective through use of the Platform or participation in lessons.
LinguaPro does not warrant that the Platform will operate without interruption, delay, error, security vulnerability, or technical malfunction, or that defects will be corrected immediately. The Platform may be temporarily unavailable due to maintenance, upgrades, technical issues, third-party service interruptions, internet outages, force majeure events, or other circumstances beyond LinguaPro's reasonable control.
Users are responsible for evaluating the suitability of instructors, lessons, educational materials, and services before participating in or purchasing them. Any decisions made by users based on information available through the Platform are made at the user's own discretion and risk.
Nothing contained on the Platform constitutes legal, financial, tax, medical, psychological, or other professional advice. Users should seek qualified professional advice where appropriate.
Some jurisdictions do not allow the exclusion or limitation of certain warranties. In such jurisdictions, the foregoing disclaimers shall apply only to the maximum extent permitted by applicable law.
To the fullest extent permitted by applicable law, LinguaPro LLC, its owners, officers, directors, employees, affiliates, licensors, service providers, and authorized representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising out of or relating to the use of, or inability to use, the Platform or any services provided through the Platform, regardless of the legal theory upon which such claim is based and even if LinguaPro has been advised of the possibility of such damages.
Without limiting the foregoing, LinguaPro shall not be liable for any loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of data, interruption of business, loss of educational opportunities, reputational harm, or any other economic or intangible losses arising from the use of the Platform.
LinguaPro operates a technology marketplace that connects students with independent instructors. LinguaPro is not responsible for the acts, omissions, conduct, statements, lesson content, teaching methods, professional judgment, or performance of independent instructors or other users of the Platform.
To the fullest extent permitted by applicable law, LinguaPro shall not be liable for damages arising from technical failures, internet outages, cyberattacks, unauthorized access, data loss, payment processor failures, third-party services, force majeure events, or other circumstances beyond LinguaPro's reasonable control.
To the fullest extent permitted by applicable law, LinguaPro's total aggregate liability for any claim arising out of or relating to these Terms, the Platform, or the services provided through the Platform shall not exceed the greater of (a) the total amount actually paid by the user to LinguaPro during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100.00).
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where such limitation is prohibited by law, death or personal injury resulting from negligence where applicable law does not permit such exclusion, or any other liability that cannot lawfully be excluded or limited.
Some jurisdictions do not permit the exclusion or limitation of certain damages or liabilities. In those jurisdictions, the limitations set forth in this section shall apply only to the maximum extent permitted by applicable law.
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LinguaPro LLC, its owners, officers, directors, employees, affiliates, licensors, service providers, and authorized representatives from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys' fees and legal costs, arising out of or relating to:
Your use of or access to the Platform.
Your violation of these Terms and Conditions or any applicable Platform policy.
Your violation of any applicable law, regulation, or the rights of any third party.
Any content, materials, or information that you submit, upload, publish, transmit, or otherwise make available through the Platform.
Your interactions, communications, transactions, or disputes with other users of the Platform.
Any negligent, fraudulent, unlawful, or intentional misconduct committed by you.
If you are an instructor, your indemnification obligations also include any claims arising from the educational services you provide, your lesson content, your professional conduct, your representations regarding qualifications or certifications, your failure to comply with applicable laws or regulations, or your obligations as an independent contractor.
LinguaPro reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with LinguaPro in the defense or settlement of the matter.
You may not settle any claim subject to this indemnification obligation in a manner that imposes liability, obligations, admissions of fault, or other adverse consequences upon LinguaPro without LinguaPro's prior written consent.
The obligations contained in this section shall survive the suspension, termination, expiration, or other conclusion of your use of the Platform and these Terms to the extent permitted by applicable law.
LinguaPro encourages users to resolve disputes promptly and in good faith. Before initiating any formal legal proceeding, you agree to first contact LinguaPro through its designated customer support or legal contact channels and provide a reasonable opportunity to resolve the matter informally.
If a dispute cannot be resolved through informal discussions, the parties agree to attempt to resolve the dispute through good-faith negotiation before pursuing any other legal remedy.
Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the services provided through the Platform shall be governed by the laws of the State of Utah, without regard to its conflict of law principles.
Subject to any mandatory rights provided under applicable law, you agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Utah, and you consent to the personal jurisdiction and venue of those courts.
Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief in a court of competent jurisdiction where such relief is reasonably necessary to protect intellectual property rights, confidential information, Platform security, or other legal rights pending the resolution of a dispute.
To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the Platform must be commenced within one (1) year after the claim arises. Claims not brought within that period are permanently barred to the extent permitted by law.
Nothing in this section limits or waives any rights that cannot legally be waived under applicable consumer protection or other mandatory laws.
These Terms and Conditions, and any dispute, claim, or controversy arising out of or relating to these Terms, the LinguaPro Platform, or the services provided through the Platform, shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles.
The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded from these Terms.
Nothing in these Terms shall deprive consumers of any mandatory rights or protections that cannot be waived under the laws of the jurisdiction in which they reside, where such rights are required by applicable law.
If any provision relating to governing law is determined to be unenforceable under applicable law, the remaining provisions of these Terms shall remain in full force and effect to the maximum extent permitted by law.
LinguaPro reserves the right to modify, amend, update, or replace these Terms and Conditions at any time to reflect changes in our business operations, Platform features, legal or regulatory requirements, industry practices, or for other legitimate business purposes.
When material changes are made, LinguaPro will make reasonable efforts to notify users by posting the updated Terms on the Platform, updating the effective date, sending an email, providing an in-platform notification, or using another appropriate method of communication. The method of notification may vary depending on the nature and significance of the changes and applicable legal requirements.
Unless otherwise required by applicable law, revised Terms become effective upon posting or on the effective date specified in the updated Terms.
Your continued access to or use of the Platform after the revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue your use of the Platform and, where applicable, close your account.
LinguaPro encourages users to review these Terms periodically to remain informed of any updates. The most current version of the Terms and Conditions will always be available through the Platform.
Nothing in this section limits any rights or obligations that arose before the effective date of a revised version of these Terms, unless otherwise required by applicable law.
